You must be at least 18 years of age and legally capable of entering into binding contracts under Indian law to use the Platform. By using the Platform, you represent and warrant that you meet these requirements.
Users purchase Precoins (platform service credits) and use them to sponsor plants at Preplanter's partner farms. When a sponsored plant reaches maturity, users receive a crop yield allocation credited back as Precoins. This is an agricultural service arrangement — you are purchasing a service that involves planting and harvesting crops on your behalf, not purchasing physical ownership of land, livestock, or growing plants.
Preplanter installs IoT-tracked smart farms on residential terraces, balconies, and backyards in Pune and PCMC. Services include design, plant selection, grow bed setup, drip irrigation, IoT sensor installation, and harvest management.
Preplanter operates a curated plant shop selling physical plants, pots, soil, and fertilizer products, delivered within Pune and PCMC. These products are sourced from third-party nursery and garden supply partners and resold by Preplanter with a markup — they are not grown, manufactured, or branded by Preplanter. Section 6 below sets out the specific terms for Plant Shop orders.
The web-based platform allows users to track sponsored plants, view harvest credits, manage their Precoin wallet, monitor XP and level progression, participate in the referral programme, and access platform features.
Precoins are non-monetary digital service credits issued by Preplanter for use exclusively within the Preplanter Platform. Precoins are not currency, cryptocurrency, tokens, securities, or financial instruments of any kind. They have no cash value, cannot be withdrawn as money, cannot be sold, and cannot be transferred between user accounts.
All Precoin purchases are final and non-refundable once the transaction is confirmed, except as required by applicable law. If a payment fails after being charged, we will investigate and, if confirmed, credit the Precoins or issue a refund within 7 business days.
The Rupee price for new Precoin purchases is set by Preplanter and may change with notice. Preplanter is in early access, and the value, mechanics, and redemption terms of Precoins — including Precoins already purchased — may be refined as the platform evolves; we will give reasonable advance notice of any material change. We do not guarantee that Precoins will indefinitely hold a fixed Rupee value. Preplanter reserves the right to adjust a user's Precoin balance if fraudulent activity, technical errors, or platform abuse is detected, after due investigation.
Precoins do not expire while your account is active. If your account is terminated for a violation of these Terms, unused Precoins are forfeited. Precoins must be redeemed before voluntary account closure — unused Precoins are not refundable upon voluntary account deletion.
When you sponsor a plant, you are purchasing an agricultural service credit. You do not acquire ownership of any physical plant, land, farm equipment, or crop inventory. You acquire the right to receive a percentage allocation of the yield produced by the corresponding plant at a partner farm, subject to actual harvest outcomes.
Preplanter does not guarantee specific harvest quantities, Precoin credit values, or timelines. All yield estimates and maturity timelines are indicative averages based on typical growing conditions. Actual results may vary materially.

In the event of a materially reduced harvest due to such risks, Preplanter will make reasonable efforts to credit users proportionally. Where a crop is completely lost due to events beyond our reasonable control, Preplanter may issue a partial service credit at its discretion but is not obligated to refund the original Precoin cost.
Home garden packages require a site assessment visit before installation. A visit fee of ₹500–2,500 applies, depending on your location in Pune/PCMC, confirmed before scheduling. You must provide accurate access details and ensure our team can safely access the installation area. You are responsible for obtaining any required permissions from your housing society, building management, or landlord before booking.
Installation timelines are estimates. Preplanter is not liable for delays caused by site conditions, material availability, weather, or events outside our control. Once installation is complete, we provide a follow-up maintenance visit within the timeframe stated in your package.
Cancellations requested at least 48 hours before a scheduled site visit receive a full credit reinstatement. Cancellations with less than 48 hours' notice may incur a 20% service charge.
This section applies specifically to orders placed through the Plant Shop (preplanter.shop/shop).
Plant Shop products are sourced from third-party nursery and garden supply partners and resold by Preplanter at a marked-up price. Product names, descriptions, and images are illustrative — natural variation in live plants (size, shape, pot color) should be expected and is not a defect.
Plant Shop orders are paid upfront via a Razorpay payment link generated for your specific order. Orders are confirmed only once payment is successfully captured.
Delivery is currently available only within Pune and PCMC. Timelines are estimates and may vary depending on product availability from our sourcing partners, logistics, and weather (for live plants). We will notify you of significant delays using the contact details provided at checkout.
You may request cancellation any time before dispatch by emailing [email protected] with your order details. Once dispatched, an order cannot be cancelled, but the return terms below still apply.
Live plants and perishables cannot be resold once delivered, so we do not accept returns for change of mind. If an item arrives damaged, dead-on-arrival, materially different from what was ordered, or missing, contact us within 48 hours of delivery with photos. Verified claims will, at our discretion, be resolved by a free replacement, a Precoin credit, or a refund. Non-perishable items (pots, soil, fertilizer) found defective or incorrect may also be returned within 7 days of delivery.
INR payments for Precoins and Plant Shop orders alike are processed by Razorpay Financial Solutions Pvt. Ltd. Crypto payments (Precoins only) are processed by NOWPayments. By completing a payment, you agree to the respective payment processor's terms. Preplanter is not responsible for payment failures, bank or card issuer declines, network timeouts, or processor errors.
If you believe you were charged but did not receive Precoins or an order confirmation, contact [email protected] within 48 hours with your payment reference ID.
You may create only one Preplanter account. You are responsible for maintaining the confidentiality of your credentials and must provide accurate information. Notify us immediately at [email protected] if you suspect unauthorised account access. Preplanter is not liable for loss resulting from unauthorised use of your account before we were notified.
Approved agents receive a unique referral code and earn commission on Precoin purchases made by referred customers. Commission rates are tier-based and calculated at the time each referral is made.
You must not engage in spam, misleading advertising, unsolicited messaging, or false representations when promoting Preplanter. Commission is earned only on legitimate, approved referrals. Preplanter reserves the right to reject, withhold, or reverse commission on referrals obtained through fraudulent or deceptive means. Programme structure and rates may change with reasonable notice; pending approved commissions will be honoured at the rates at the time they were earned.
XP points, levels, and artifacts are virtual platform features with no monetary value. They cannot be redeemed, transferred, or exchanged for anything of value outside the Platform. Preplanter may adjust, rebalance, or discontinue gamification features at any time.

The restriction above does not apply to: (a) well-behaved search engine crawlers (e.g. Googlebot, Bingbot) indexing publicly published pages in line with our robots.txt; (b) AI assistant and AI search crawlers (for example, crawlers operated by Anthropic, OpenAI, Perplexity, and Google) reading our publicly published marketing content so AI assistants can accurately answer questions about Preplanter; and (c) Preplanter's own marketing, analytics, and monitoring tools. This covers reading and indexing public marketing pages only — it does not extend to scraping account data, pricing logic, non-public pages, or using such access to build a competing product (see Section 12.1).
Violations may result in immediate account suspension, forfeiture of Precoins, and legal action where appropriate.
All content on the Platform — including text, graphics, logos, software, data, plant imagery, and service descriptions — is owned by Preplanter or its licensors and protected by Indian intellectual property laws. You may not copy, reproduce, distribute, modify, or commercially exploit any Platform content without prior written permission.

The specific combination of services and systems Preplanter uses to operate this Platform — including our cloud farming and home garden installation model, our harvest-to-market process, our gamification and artifact system, our tiered agent commission structure, and our Plant Shop sourcing and fulfillment approach — is proprietary business know-how. By using the Platform, you agree not to use information or access obtained through it to replicate, clone, or build a directly competing service, and not to use automated tools to extract Platform content or data for that purpose. This does not restrict operating an unrelated, independently developed business, nor apply to information already public knowledge in the agriculture or e-commerce industry generally.
The Platform is provided on an "as is" and "as available" basis. Preplanter disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be continuously available, error-free, or free of harmful components. Harvest yield estimates are based on aggregated data; individual results will vary.
Preplanter's total aggregate liability to you for any claims arising out of or relating to these Terms or the Platform is limited to the value of Precoins held in your account plus the value of any pending Plant Shop order at the time the claim arises, or ₹10,000 (Indian Rupees ten thousand), whichever is greater.
In no event shall Preplanter be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of goodwill, loss of data, or business interruption.
Preplanter may modify, suspend, or discontinue any part of the Platform at any time. We will make reasonable efforts to notify users of significant service changes that affect purchased services. We may update these Terms at any time; continued use after changes take effect constitutes acceptance.
You may close your account by contacting [email protected]. Precoins cannot be refunded upon voluntary account closure (see Section 3.5). We reserve the right to suspend or terminate accounts for violations of these Terms, fraudulent activity, or security risk. Upon termination for a violation, the Precoin balance is forfeited.
You agree to indemnify and hold Preplanter, its officers, employees, and partner farms harmless from any claim, liability, loss, or expense (including reasonable legal fees) arising from your violation of these Terms, your misuse of the Platform, or your infringement of any third party's rights.
These Terms are governed by the laws of India, specifically the State of Maharashtra. Any disputes shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra, India.
Before initiating formal legal proceedings, you agree to attempt informal resolution by contacting [email protected]. We will make reasonable efforts to resolve disputes within 30 days of receiving notice.
In accordance with the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, you may contact our Grievance Officer with complaints regarding the Platform or content hosted on it:

We will acknowledge complaints within 24 hours and aim to resolve them within 15 days.
Severability: If any provision of these Terms is held invalid or unenforceable, it will be limited or eliminated to the minimum extent necessary, and the remaining provisions continue in full force.
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Preplanter and supersede any prior agreements.
No Waiver: Our failure to enforce any right or provision will not be considered a waiver of it.
Assignment: You may not assign these Terms without our prior written consent. Preplanter may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
